Ujjivan Small Finance Bank wants up to ₹409.04 crore in fresh equity, and most of it is coming from the International Finance Corporation. The board approved the preferential issue on October 16. It brings in three of India’s big life insurers alongside IFC, two of them as new shareholders, and takes IFC’s holding to just under 5%.
The plan is to issue up to 6,31,91,619 shares of ₹10 face value at ₹64.73 each, a premium of ₹54.73. They go to qualified institutional buyers for cash, on a private placement basis.
IFC takes the biggest piece, up to 3,84,73,561 shares worth about ₹249.04 crore. Bajaj Life Insurance comes in for up to 92,69,272 shares, about ₹60 crore. Aditya Birla Sun Life Insurance and HDFC Life Insurance take up to 77,24,393 shares each, close to ₹50 crore apiece.
Here is how the holdings move. IFC, which already owns 3.18%, goes to 4.99%. Bajaj Life rises from 0.25% to 0.70%. Aditya Birla Sun Life and HDFC Life each start at 0.38%.
None of it is done yet. Shareholders vote at an extraordinary general meeting on November 13, 2026, and the issue needs in principle approval from BSE and NSE as well as compliance with the Companies Act and SEBI’s ICDR rules. October 14 was fixed as the relevant date for pricing.
IFC’s cheque comes with strings. Besides a subscription agreement, the board approved a separate policy agreement that runs for as long as IFC stays a shareholder. It covers reporting plus covenants on sanctionable practices, environmental and social standards, insurance, corruption, harassment, child protection and UN Security Council resolutions. Any unpublished price sensitive information shared with IFC has to reach the exchanges first, or at the same moment.
The bank says the subscription agreement has no impact on management or control. The filing names no IFC board nominee, and the IFC agreements do not count as related party transactions. The filing also states that the bank has no promoters.
Herald View
IFC is buying influence, not control. At 4.99% it stays a minority holder, but the policy agreement keeps it in the room on conduct and disclosure for as long as it owns a share. The insurers are the louder signal: patient money betting that a small finance bank with no promoter can be held, not just traded. November 13 is the test, and ₹64.73 is now the line the stock has to defend.
