Emirates NBD’s three Indian branches will become RBL Bank branches on December 1. The Reserve Bank of India approved the amalgamation on October 16, completing the branch merger the two banks set out when Emirates NBD agreed to take a controlling stake in RBL.
The approval came under Section 44A(4) of the Banking Regulation Act, 1949. RBI’s release puts it plainly: “All the Indian branches of Emirates NBD Bank P.J.S.C. will function as branches of RBL Bank Limited with effect from December 01, 2026.”
RBL told the exchanges the same evening. Its filing, signed by company secretary Niti Arya, says the sanction is subject to terms set out in RBI’s letter. Nobody has said what those terms are.
When the deal was announced in October 2025, the two banks said Emirates NBD ran three branches here, in Mumbai, Gurugram and Chennai, and that they would be merged into RBL under RBI rules once the share issue went through.
That happened in June. On June 18, 2026, RBL allotted 92,91,34,820 shares to Emirates NBD at ₹280 each, roughly ₹26,015.77 crore in all. Emirates NBD came out with 60% of the enlarged bank and promoter status. RBL’s paid up capital went from about ₹619.42 crore to about ₹1,548.56 crore.
The board was reshaped at the same meeting. Five Emirates NBD nominees joined as additional nonexecutive directors, Group CEO Shayne Nelson among them, subject to shareholder approval. Gopal Jain and Veena Mankar stepped down.
Back in May, RBL said it would operate as a foreign bank subsidiary once the deal closed, with Emirates NBD recognised as promoter.
For customers of those three branches, December 1 is the date to remember. That is the day the three Emirates NBD branches start operating as RBL Bank branches.
