FWD Group Holdings has agreed to buy a 25% stake in Bolttech Insurance (Hong Kong) Company Limited for a base consideration of USD 20.72 million, subject to a closing adjustment. The sale and purchase agreement was signed on October 10, 2026, between FWD Limited, a wholly owned subsidiary of FWD Group, and Bolttech Discovery Holdings Limited, the seller. The stake covers 429,315 ordinary shares and will be paid for from FWD’s internal resources.
The target is authorised to carry on general insurance business in and from Hong Kong. It is also a business FWD once owned. According to the filing, FWD sold it to bolttech Holdings in 2020 as part of the bolttech spin-off. The seller’s original cost for all of the shares at that time was USD 76.8 million.
The deal is a connected transaction under Hong Kong’s listing rules. Richard Li, an Executive Director and controlling shareholder of FWD, is indirectly interested in 30% or more of bolttech Holdings, which makes the seller his associate. Li abstained from the board vote. As the deal falls below 5%, it needs an announcement but not a circular or independent shareholder approval.
On price, the base consideration comes to 1.9 times the target’s book value. FWD engaged an independent valuer, who set the target’s net assets at about HKD 336 million, which is roughly USD 43 million at the end of 2025. The valuer considered a range of 1.1 to 2.8 times, drawn from 25 comparable companies and seven general insurance transactions in Asia between 2022 and 2025. The closing adjustment will use the target’s net asset value, solvency ratio and combined ratio at the end of the latest quarter before completion, and it can only lower the price.
Completion depends on the Hong Kong Insurance Authority approving, or issuing a notice of no objection to, anyone who becomes a controller of the target as a result of the deal. The target must also keep its licence in good standing, and there must be no breach of certain fundamental warranties. The long stop date is nine months after signing, with a possible three-month extension.
At completion, the parties will sign a shareholders’ agreement. The board can have up to nine directors, with a holder of 10% to 25% entitled to appoint one, and three independent non-executive directors will always sit on it.
The agreement also includes rights of first refusal and tag-along rights, along with options that apply if a specified FWD competitor takes control of the bolttech group or if a shareholder defaults. bolttech Holdings will also sign a consent letter allowing the deal under a non-compete in the 2020 business collaboration agreement.
FWD says the deal gives it a non-controlling interest in an established general insurer with which it has a longstanding commercial relationship. It also aims to strengthen the existing partnership in group medical insurance and deepen cooperation in personal general insurance, including products, distribution and customer service.
For customers of either company, nothing changes at this stage, since this is a minority shareholding that still needs regulatory approval. It does show how FWD, a life and health insurer with over 40 million customers across 10 markets, is looking to work more closely with a general insurer in Hong Kong without taking control of it.
Herald View
FWD is buying back into a business it once sold. It is only taking a 25% stake with one board seat and some built-in protections, so it looks like a partnership and not a takeover. The filing’s numbers imply the whole company is worth about USD 83 million, which is a little over USD 76.8 million the seller paid in 2020. The deal is also with a related party, and the filing is open about that, which the shareholders will want to see. The real test is whether the work on group medical and personal general insurance leads to products people can actually buy.
